Acceptance of These Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website at tcsgco.com and any pages, content and features made available through it (the “Site”), which is operated by Tailored Capital Strategies Group LLC (“TCSG,” “we,” “us” or “our”). By accessing or using the Site, you agree to be bound by these Terms, by our Privacy Policy and by our Disclaimers, both of which are linked from the Legal menu in the site navigation and from the footer of every page. If you do not agree, please do not use the Site.

Permitted Use of the Site

The Site is subject to the Disclaimers and other Terms and Conditions hereof and is provided solely for your informational use and for the legitimate business purpose of evaluating whether to contact TCSG in order to discuss with TCSG whether you may wish to engage TCSG or be eligible for TCSG’s services. You may view, download and print individual pages for that purpose, provided that you do not remove any copyright or proprietary notice and do not modify the content. You may not use the Site or its content to build, train or improve any dataset, model or competing service, and any other use requires our prior written consent.

Intellectual Property

All content on the Site — including text, graphics, photographs, illustrations, page layouts, design elements, and the selection and arrangement of that content — is owned by TCSG or its licensors and is protected by United States and international copyright, trademark and other intellectual property laws. “Tailored Capital Strategies Group,” “TCSG,” the TCSG logo and related marks are trademarks or service marks of TCSG. Nothing on the Site grants you any license or right to use any mark displayed on it without our prior written consent or the consent of the mark’s owner.

Prohibited Conduct

You agree not to:

  • access the Site by automated means, including scraping, crawling, harvesting or data mining, except by crawlers operating in accordance with the directives in our robots.txt file;
  • use the Site to transmit unsolicited commercial communications, malware or other harmful code;
  • attempt to gain unauthorized access to the Site, its servers, or any connected system or network;
  • interfere with or disrupt the integrity or performance of the Site;
  • use the contact form for any purpose other than a genuine inquiry;
  • reproduce, duplicate, sell or resell any portion of the Site;
  • misrepresent your identity or your affiliation with any person or entity; or
  • use the Site in violation of any applicable law or regulation.

Submissions Through This Site

Information you submit through our contact form is transmitted to us by email and may be retained as described in our Privacy Policy. Please do not submit confidential, proprietary, privileged or sensitive personal information through the Site. Submissions are not treated as confidential unless we have a written agreement providing otherwise, and sending an inquiry does not create a client or advisory relationship — see our Disclaimers.

Unsolicited Ideas and Proposals

We do not accept unsolicited transaction proposals, business plans, financing ideas, structures, models or similar materials through the Site, and we ask that you not send them. If you send such material anyway, you agree that it is submitted on a non-confidential and non-obligatory basis, that we are under no obligation to review, return, keep confidential or refrain from using it, and that we may develop, use or pursue ideas, structures or approaches that are similar or identical to it without any obligation or compensation to you. This section does not apply to information exchanged under a signed and delivered confidentiality, non-disclosure or engagement agreement.

Copyright Complaints

If you believe that material on the Site infringes a copyright you own or control, please send a written notice to our designated agent at the address under Contact below, identifying the copyrighted work, identifying the material you claim is infringing and its location on the Site, providing your contact information, and including the statements required by the Digital Millennium Copyright Act. We will respond to properly submitted notices in accordance with that statute.

Third-Party Links and Content

The Site may link to third-party websites or resources. We provide those links for convenience only and do not endorse, and are not responsible for, their content or practices. Your use of a third-party site is governed by that site’s own terms and privacy policy.

Export Controls and Sanctions

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive United States sanctions, and that you are not a person with whom United States persons are prohibited from dealing under applicable sanctions or export control laws, including any person designated on a restricted party list maintained by the U.S. Department of the Treasury’s Office of Foreign Assets Control. You agree not to access or use the Site in violation of any applicable export control or sanctions law.

Electronic Communications

When you use the Site or send us an email, you are communicating with us electronically and you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

Disclaimer of Warranties

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure or error-free, or that any defect will be corrected.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall TCSG or its members, managers, officers, employees or agents (including, without limitation its managing directors, founder and partners shown in the Team section) be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your access to or use of the Site, whether based in contract, tort, strict liability or otherwise, even if advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend and hold harmless TCSG and its members, managers, officers, employees and agents (including, without limitation its managing directors, founder and partners shown in the Team section) from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Site or your breach of these Terms.

Suspension and Termination of Access

We may modify, suspend or discontinue the Site, or any part of it, at any time and without notice, and we may restrict or terminate your access to the Site at our discretion, including where we believe you have breached these Terms. We have no liability to you for doing so. The provisions of these Terms that by their nature should survive termination will survive, including, without limitation, those relating to intellectual property, submissions, disclaimers, limitation of liability, indemnification and governing law.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.

Severability and Waiver

If any provision of these Terms is held to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

General

These Terms, together with our Privacy Policy and our Disclaimers, constitute the entire agreement between you and TCSG regarding the Site and supersede any prior understanding on that subject. They do not affect, and are not incorporated into, any engagement agreement between TCSG and a client, which governs that relationship on its own terms. You may not assign or transfer these Terms in whole or in part; we may assign them in whole or in part in connection with a merger, acquisition or sale of all or part of our business. These Terms do not create any third-party beneficiary rights. Nothing in these Terms creates any partnership, joint venture, agency or employment relationship between you and TCSG.

Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page and revising the “Last updated” date above. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
