Nature of Our Role
TCSG designs capital strategies & structures, and coordinates the parties to a transaction. Where a transaction requires services that are or are required to be regulated, licensed or otherwise reserved to authorized persons — including without limitation the offer, sale, placement or underwriting of securities; lending; the provision of investment, legal, tax or accounting advice; the placement or issuance of insurance or surety products; and the performance of trustee, paying agent or similar functions — those services are performed by independent third parties. Each such party acts in its own name, under its own licenses and regulatory authorizations, and pursuant to its own engagement and its own terms.
TCSG does not hold, receive, manage or take custody of client funds, securities or other assets. TCSG does not provide financing and does not commit capital of its own to client transactions. Nothing on this website should be read as an indication that TCSG performs any service for which registration, licensing or authorization is required, or that it does so in any jurisdiction.
