TCSG'S APPROACH TO STRENGTHENING CLIENTS' FINANCIAL AND DEAL CAPABILITIES
Capital is the lifeblood of business, and clients often engage TCSG before planning or initiating a Proposed Transaction that will require significant capital. A client's asset base and capital structure constitute its Basic Financial Foundation which, together with the structure of the Proposed Transaction itself, shapes the cost and availability of capital and the client's ability to attain its goals.
TCSG's approach addresses both. Drawing on decades of experience in financial structuring and dealmaking, we design structures that work from the client's existing asset base and risk profile, strengthening the Basic Financial Foundation so that a wider range of financing options becomes available. In parallel, we design the financial and risk-mitigation structure of the Proposed Transaction itself, incorporating surety and credit enhancement solutions developed with major insurance carriers and their alternative risk transfer teams. Where the structure permits, we design to IFRS derecognition criteria so that clients and their auditors can evaluate off-balance sheet treatment on a sound basis. The result is a strengthened financial foundation and a risk-mitigated deal structure, coordinated across the licensed institutions that execute each component.
WE WORK SOLELY FOR THE SPONSOR, AND OUR INTERESTS ARE NOT DIVIDED
TCSG works for the sponsor of the transaction, and the sponsor is our client. Commercial and investment banks also serve sponsors, but those institutions answer to a broad shareholder base and to obligations of their own that may not align with the sponsor's position. TCSG holds no investor capital and answers to no fund shareholders, so there are no competing obligations shaping the structure we design or the specialists we recommend. That structural difference is what allows us to work from the sponsor's objectives alone as we curate the appropriate institutions and coordinate the transaction through the intricacies of global finance.
We design deal and capital structures around the client's own priorities. In our experience, clients are often unaware of the full structural value available within their existing asset base, or of how that base might be organized to better support their objectives. Much of our work involves identifying and structuring around that latent value.
Our role is to guide sponsors through the institutions and processes of the financial world with a clearer structural path than they would otherwise have. Even financially sophisticated clients are frequently unfamiliar with bond-based structures that draw on surety and credit enhancement from major insurance carriers and their alternative risk transfer teams — capabilities that sit outside conventional equity and debt models and, where the structure permits, can be designed to IFRS derecognition criteria. These are the structural options that distinguish our approach: lower-cost by design, capital-efficient, non-dilutive, and risk-mitigated.
